WorxInvest NV is a Belgian investment company based in Antwerp. It was founded in 2016 to group and manage the shareholding of SD Worx, one of Belgium’s oldest and largest HR and payroll service providers. The creation of WorxInvest consolidated SD Worx’s long-standing shareholders — previously spread across foundations and co-operative entities — into one professional investment holding. Its purpose is to act as a long-term shareholder and anchor investor in Belgian and European businesses rather than a trading vehicle.

WorxInvest's current shareholders include the SD Worx Foundation (around 62 %), BNP Paribas Fortis Private Equity, Ethias Insurance, ING Belgium, and KBC Bank, along with several smaller institutional investors.

The holding's investment portfolio consists of:

  1. Patient Capital companies valued at €1,7 billion, with SD Worx (77,5 % ownership) – a European leader in HR and payroll services – as the main asset.
  2. Private-equity investments valued at €0,5 billion, with Gimv (32,3 % ownership) – a listed venture-capital and private-equity firm – as the key holding.
  3. Real-estate investments valued at €0,1 billion through Infravest (infrastructure projects) and WorxEstate (property holdings).

Together, these assets represent about €2,3 billion in fair value as of 30 June 2025. Including other assets, the group’s total assets amount to €2,5 billion, financed by €2,1 billion of equity, while financial debt consists mainly of the €250 million bonds and a €200 million revolving credit facility, of which only a small portion is drawn.

Main assets – SD Worx and Gimv

SD Worx helps companies handle everything related to paying and managing employees. It processes payrolls, calculates taxes and benefits, prepares payslips, and provides digital tools to track working hours, holidays, and HR data. In short, it ensures that employees are paid correctly and companies stay compliant with labour laws.

SD Worx operates in 26 European countries, serving over 95 000 clients with around 10 000 employees. In the first half of 2025, it generated €649 million in revenue and €135 million in adjusted EBITDA (around a 21 % margin). It produced €140 million in free cash flow and maintained low leverage at 1,4× EBITDA, confirming a very solid financial position. Revenues are highly recurring and stable, as companies continuously require payroll and HR support — switching providers is costly, and large-scale layoffs among clients are unlikely.

Gimv NV, listed on Euronext Brussels with a market capitalisation of about €1,6 billion, is a long-established venture-capital and private-equity company investing in roughly 70 European businesses. Its portfolio spans a broad range of sectors — from food producers and industrial suppliers to biotech innovators and IT start-ups.

In the first half of 2025 alone, WorxInvest received €98,3 million in dividends, almost entirely from SD Worx. This comfortably covers its annual bond interest of about €12,7 million, highlighting excellent debt-servicing capacity.

Bond considerations

The €250 million 5,10 % bonds maturing in October 2030 are unsecured, non-callable until maturity, and not rated by any credit agency.

The bond includes strict covenants designed to protect investors. The Debt Ratio – which measures how much of the company’s assets are financed by debt (calculated as net debt ÷ (assets + debt)) – must not exceed 40 %. If it rises above 30 %, the coupon automatically steps up by 1,00 %, raising the interest rate to 6,10 %. As of mid-2025, WorxInvest’s debt ratio was only 7,3 %, leaving ample headroom.
